Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and indexgig ("indexgig," "we," "us," or "our") governing your access to and use of the indexgig website, applications, and related services (collectively, the "Services").
Please read these Terms carefully. By creating an account, clicking to accept, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
If you do not agree to these Terms, do not use the Services. We may modify the Services or these Terms from time to time; the "Last updated" date above will change when we do. Your continued use after the effective date of changes constitutes acceptance of the revised Terms where applicable law allows.
These Terms apply in addition to any order form, statement of work, or direct contract between you and another user for specific work; such agreements are between those parties. indexgig is a platform provider and, except as expressly stated, is not a party to engagements between clients and freelancers.
Eligibility and accounts
You must be at least the age of majority in your jurisdiction (or older if we specify a higher minimum) and able to form a binding contract to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to accept these Terms on its behalf.
You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. You must notify us promptly of any unauthorized use or security breach.
We may refuse registration, suspend or terminate accounts, or limit features to protect the integrity of the Services, comply with law, or enforce these Terms.
The Services
indexgig provides an online marketplace and related tools that help clients discover freelancers, post work, exchange messages, and manage aspects of their relationship. Features may change over time; we do not guarantee that any particular feature will always be available.
The Services are provided for business and professional use unless we expressly offer consumer-only features subject to additional terms. You are responsible for obtaining any equipment, software, and Internet access needed to use the Services.
We may use subcontractors, affiliates, and service providers to operate the Services. Subject to our Privacy Policy, we may send you service-related and, where permitted, promotional communications.
Clients and freelancers
Users may participate as clients (including individuals and organizations seeking services), as freelancers (independent professionals offering services), or in both capacities depending on account settings and activity.
You understand that engagements for specific deliverables, timelines, and fees are primarily between clients and freelancers. indexgig facilitates discovery, communication, and certain platform features but is not the employer of freelancers and, except where we explicitly offer a payment or escrow product described in separate terms, is not a party to the underlying contract for work.
You are solely responsible for determining whether a relationship is that of independent contractor, employee, or other classification under applicable law, and for meeting tax, labor, and regulatory obligations arising from your engagements.
Acceptable use
You agree to use the Services only in compliance with these Terms and applicable law. Without limitation, you must not:
Use the Services for unlawful, fraudulent, harassing, defamatory, obscene, or discriminatory purposes, or to exploit minors.
Circumvent fees, payment flows, or identity verification; solicit or complete payment for work originated on the Services entirely off-platform to avoid our legitimate fees, if such fees apply and are disclosed to you.
Scrape, crawl, harvest, or automate access to the Services in a manner that burdens our systems or violates our technical policies, except through interfaces we expressly provide.
Upload malware, attempt unauthorized access to systems or accounts, or interfere with the security or availability of the Services.
Misrepresent your identity, qualifications, affiliation, or the nature of a job or proposal; post false or misleading reviews; or manipulate ratings or rankings.
Use the Services to spam, send unsolicited bulk messages outside reasonable business outreach related to genuine opportunities, or collect user data without consent.
We may investigate violations and cooperate with law enforcement. Consequences may include content removal, suspension, termination, and legal action where appropriate.
Jobs, proposals, and engagements
Job posts, proposals, messages, and other content you submit must be accurate and lawful. You grant indexgig a non-exclusive, worldwide, royalty-free license to host, display, transmit, and distribute such content as needed to operate and promote the Services, subject to our Privacy Policy.
Clients are responsible for the accuracy of job descriptions, budgets, and requirements. Freelancers are responsible for the accuracy of profiles, skills, and proposals. Either party may withdraw or decline an opportunity before a mutual commitment is formed according to the workflows we provide.
Once you enter into an agreement for work with another user, you are responsible for performing your obligations and for resolving disputes over scope, quality, and payment according to that agreement and applicable law. indexgig may offer optional dispute or support processes as described in the Services but is not obligated to adjudicate contractual disputes between users.
Fees and payments
Certain features of the Services may be free; others may be subject to fees, subscriptions, or success-based charges as disclosed at the time of purchase or in separate fee schedules. You agree to pay all fees associated with your use of paid features when due.
If we or our payment partners process payments between users, you authorize us to charge or transfer funds according to the payment method and rules you select. You are responsible for providing valid payment information and for any chargebacks or reversals that violate our policies.
Fees are generally non-refundable unless we state otherwise or law requires a refund. Taxes may apply; you are responsible for determining and remitting taxes associated with your use of the Services and your engagements, except where we are required by law to collect and remit specific taxes.
Intellectual property
The Services, including software, branding, designs, text, graphics, and documentation, are owned by indexgig or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
You retain ownership of content you submit, subject to the license you grant to us in these Terms and any separate agreement with another user regarding deliverables. As between users, ownership of work product should be addressed in your direct contract or statement of work.
You must not remove proprietary notices, reverse engineer our software except to the extent permitted by mandatory law, or use our trademarks without prior written permission.
Confidentiality and privacy
You may receive non-public information about other users or indexgig through the Services. You agree to use such information only for the purpose of evaluating or performing engagements and not to disclose it to third parties except as required by law or with proper authorization.
Our collection and use of personal data are described in our Privacy Policy. By using the Services, you acknowledge that we process personal data as set forth there.
Feedback and ratings
If you provide suggestions, ideas, or feedback about the Services, you grant indexgig a perpetual, irrevocable, royalty-free license to use and incorporate them without obligation to you.
Ratings, reviews, and similar content must reflect genuine experience and comply with these Terms. We may remove or moderate content that we believe is false, abusive, or violates policy, without liability to you.
Third-party services
The Services may link to or integrate with third-party websites, applications, or payment providers. Those third parties are independent; their terms and privacy policies govern your use of their offerings. indexgig does not control and is not responsible for third-party content or practices.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not endorse, guarantee, or verify the skills, qualifications, or performance of any user. You are solely responsible for evaluating counterparties and engagements.
Nothing in the Services constitutes legal, tax, financial, or professional advice.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INDEXGIG, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO INDEXGIG FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW (SUCH AS FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR WILLFUL MISCONDUCT).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
Indemnification
You will defend, indemnify, and hold harmless indexgig and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or engagements with other users; (b) your content or conduct; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.
We may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense.
Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, for conduct that we believe violates these Terms, creates risk, or is otherwise harmful.
Provisions of these Terms that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, indemnification, and governing law—will survive. Upon termination, your right to use the Services ceases; we may delete or retain your content according to our Privacy Policy and internal practices.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction we designate in a country- or region-specific addendum if we publish one; otherwise by the laws applicable to indexgig's principal place of business, without regard to conflict-of-law principles.
You agree that courts in that jurisdiction (or another forum we specify in a supplemental notice) have exclusive jurisdiction over disputes arising from these Terms or the Services, except where mandatory consumer protection law requires otherwise.
Before filing a claim, you agree to contact us at hello@indexgig.com to seek an informal resolution. If we cannot resolve a dispute informally within a reasonable period, either party may pursue remedies as permitted by law.
General
These Terms, together with the Privacy Policy and any additional terms presented when you use specific features, constitute the entire agreement between you and indexgig regarding the Services and supersede prior agreements on the subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
